Terms and Conditions 1. Information and Document Review. Interested parties may obtain information by contacting the “Auctioneer”, Statewide Auction Co. at 1-801-232-3900 Tom Erkelens or Bill Shelton. Prior to the Auction Sale, prospective bidders may arrange with the Auctioneer to inspect the Property and to review title reports for the parcel, available plat maps or surveys and the Notice of Sale. Copies will be provided at the expense of the prospective bidder. Bidders may inspect the outside of the property at any time. 2. Property Transfer. At the “Closing” the seller shall convey the Real property via a Trustee’s deed. Property must close within 15 days after court approval. 3. Property Condition. The Property shall be sold “as is”, unrepaired, WITHOUT WARRANT, EXPRESS OR IMPLIED, as to any matter. Prospective bidders rely solely on their independent investigation in purchasing the Property, including physical inspections and inspection of documents. The Successful Bidder will release Seller from all claims and liabilities regarding the environmental condition of the property. 4. Registration and Deposit. Prior to the commencement of the auction sale, each bidder must register with the Auctioneer, obtain bidder’s card and make a $25,000.00 deposit in Collected Funds payable to the Auctioneer. (However, if bidder brings a cashier’s check made payable to himself, he may endorse it to the Auctioneer if he becomes the successful bidder.)Unsuccessful bidders’ deposits will be returned immediately following the auction. Each bidder making an on-site investigation or the property or making a deposit shall be bound by all the terms of the Notice. 5. Bid Procedure. Seller shall conduct the Auction Sale through the Auctioneer. No bidder shall offer an advance upon a previous bid of less than such amount as Auctioneer may in his sole discretion direct. Bids must be for payment in full at the Closing by Certified Funds; Seller will not offer financing. Upon acceptance, the successful bidder must sign a memorandum confirming the bid; the successful bidder’s deposit shall then become nonrefundable, except upon Seller’s default. 6. Default. If the bidder defaults, the deposit shall be forfeited to the seller; seller may recover additional damages (including attorney’s fees): and in seller’s discretion, the next highest “back-up bid” that was accepted by the seller shall become a substitute final bid. 7. Disclaimer. Auctioneer, broker and Seller have obtained information about the property from sources that they deem to be reliable, however, they make no warranties as to the accuracy of, and disclaim all liability for errors or omissions in, advertisements, brochures or other promotional statements and materials relating to the Auction Sale and factual statements made in the Notice. The terms of the announcement made by the Seller at the time of the Auction Sale shall take precedence over all such materials. 8. Modification of Terms. In The Seller’s sole discretion, the Seller may withdraw all or part of the Property from Sale; may postpone or cancel the Auction Sale; and in the Seller’s business judgment, may modify the terms and conditions of the Auction Sale.
